1. Introduction

These Terms and Conditions govern your use of the Foundry North website and our provision of web design, SEO, AI discoverability, and related digital services. By using our website or engaging our services, you agree to these terms.

Foundry North is based in Bingley, West Yorkshire, United Kingdom.

2. Services

We offer the following services:

• Web Design & Development: Custom website design, development, and maintenance
• SEO & AI Discoverability: Search engine optimisation, local SEO, and AI search optimisation
• AI Workshops & Consulting: Training and consultancy services for businesses

Specific terms for each project will be outlined in a separate proposal or contract.

3. Quotes and Pricing

All quotes are valid for 30 days from the date of issue unless otherwise stated. Prices are quoted in GBP and are exclusive of VAT unless specified. We reserve the right to adjust pricing if project scope changes significantly from the original brief.

4. Payment Terms

Unless otherwise agreed in writing:

• A 50% deposit is required before work commences
• The remaining balance is due upon project completion, before final handover
• For ongoing services (e.g., SEO), invoices are issued monthly and payable within 14 days
• Late payments may incur interest at 4% above the Bank of England base rate

5. Project Timeline

We will provide estimated timelines for all projects. These estimates assume timely provision of content, feedback, and approvals from the client. Delays caused by late client responses may extend the project timeline.

6. Client Responsibilities

Clients agree to:

• Provide all necessary content, images, and information in a timely manner
• Ensure they have the right to use all content provided to us
• Provide feedback and approvals within agreed timeframes
• Make payments according to the agreed schedule

7. Intellectual Property

Upon full payment, clients receive full ownership of custom designs and content created specifically for their project. We retain the right to use anonymised project examples in our portfolio unless otherwise agreed. Third-party elements (fonts, stock images, plugins) remain subject to their respective licences.

8. Revisions and Changes

The number of revision rounds included in a project will be specified in the proposal. Additional revisions beyond the agreed scope may incur additional charges. Significant changes to project scope after work has begun will require a revised quote.

9. Cancellation

Either party may cancel a project with 14 days written notice. If the client cancels, payment is due for all work completed up to the cancellation date, and the deposit is non-refundable. We will provide all completed work upon receipt of final payment.

10. Warranties and Liability

We will perform all services with reasonable skill and care. However, we cannot guarantee specific results from SEO or marketing services, as these depend on many factors outside our control. Our liability is limited to the total fees paid for the specific service in question.

11. Confidentiality

We will treat all client information as confidential and will not disclose it to third parties without consent, except where required by law or necessary to provide our services (e.g., sharing with hosting providers).

12. Website Terms of Use

When using our website, you agree not to:

• Use the website for any unlawful purpose
• Attempt to gain unauthorised access to our systems
• Copy or reproduce our content without permission
• Interfere with the proper functioning of the website

13. Governing Law

These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Changes to Terms

We may update these Terms and Conditions from time to time. Changes will be posted on this page. Continued use of our services after changes constitutes acceptance of the updated terms.
